1. Acceptance of Terms

By accessing or using verifire.ai (“Service”), you (“Customer”) agree to these Terms of Use, our Privacy Policy, and any applicable Order Forms. If you do not agree, do not use the Service. This Agreement, together with your Order Form, is the entire agreement and supersedes all prior communications.

2. Service Description & License

Verifire.ai grants you a limited, non-exclusive, non-transferable, revocable license to use our APIs and dashboard solely to orchestrate integrations with third-party compliance providers. You must comply with usage limits based on your selected subscription packages.

3. Order Forms, Subscription & Fees

Subscriptions are governed by your Order Form. Pricing:

• $150 per 1,000 Request package

• $50 per 24‑hour Data Retention package

• $150 optional 24/7 Support package

All fees are in USD, non-cancelable, non-refundable. We may modify pricing upon renewal with 30-day advance notice.

4. Modifications & Updates

We reserve the right to update or discontinue any aspect of the Service, at any time, with reasonable notice. Continued use implies acceptance of modifications.

5. Account Terms & Authorized Users

You are responsible for all use of your account by your Authorized Users (employees, contractors). Each must have unique credentials. Secure credentials and notify us of unauthorized use.

6. Customer Data & Privacy

You retain all rights to your data (“Customer Data”) which is processed solely per your instructions. We act as a data processor/controller under GDPR and other laws, and offer a Data Processing Addendum upon request.

7. Intellectual Property

Verifire.ai owns all rights to its platform, code, trademarks, APIs, documentation, and improvements. You may not modify, reverse-engineer, distribute, or create derivatives. Customer retains ownership of Customer Data.

8. Restrictions

You agree not to:

• Reverse engineer or misuse the Service

• Use the Service to compete with us or develop similar platforms

• Scrape, bypass limits, or introduce harmful software

• Violate any applicable laws or third-party rights

9. Warranties & Disclaimers

The Service is provided “as is” and without warranties. We do not guarantee uninterrupted, error-free operation or fitness for compliance outcomes. Verifire.ai expressly disclaims all implied warranties.

10. Limitation of Liability

In no event shall Verifire.ai, its affiliates, or providers be liable for indirect, incidental, punitive, special or consequential damages, or for any direct damages exceeding the fees paid in the 6 months preceding the event.

11. Indemnification

You agree to defend and indemnify Verifire.ai against claims arising from your use of the Service, unauthorized uses, or violation of laws.

12. Term & Termination

This agreement begins at the start of the subscription and continues until terminated. Either party may terminate for cause. Upon termination, your access ceases and verifiable data is retained per your retention package. Fees remain due.

13. Force Majeure

Neither party is liable for delayed or failed performance due to causes beyond its reasonable control.

14. Export Controls

You will not export the Service in violation of export laws.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts of Nicosia, Cyprus.

16. Publicity

We may refer to you, with your consent, as a customer in marketing materials. You may not use our name or trademarks without prior written consent.

17. Changes to Terms

We may update these Terms with 30 days’ notice via email or dashboard. Your continued use constitutes acceptance unless you provide written objection within 15 days.
