Terms of use

These Terms of Use (“Terms”) form a legally binding agreement between the customer entering into these Terms (“Customer”, “you”) and Verifire Ltd (“Verifire”, “we”, “us”, “our”), a company registered in Cyprus.
By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
1. Definitions
For the purposes of these Terms:
“Account” means the Customer’s account created to access the Service.
“Authorized Users” means individuals authorised by Customer to use the Service on Customer’s behalf.
“Customer Data” means any data, information, documents, identifiers, or other inputs submitted by Customer or Authorized Users into the Service, including data routed to third-party compliance providers.
“Service” means the Verifire data workflow and orchestration platform, dashboard, APIs, SDKs, integrations, documentation, and related services.
“Third-Party Providers” or “Compliance Providers” means third-party services supported by Verifire (e.g., KYC/KYB, AML, identity verification, sanctions screening providers).
“Order Form” means any ordering or subscription document (including online checkout) referencing these Terms.
“DPA” means the Verifire Data Processing Addendum, where applicable.
“Usage Data” means analytics, logs, metadata, and related information generated through use of the Service.
“Applicable Law” means all laws and regulations applicable to the parties, including GDPR.
2. Eligibility & Authority
The Service is intended solely for business use (B2B). By using the Service, you confirm that:
You are at least 18 years old;
You are using the Service for business or professional purposes;
If you act on behalf of a company, you have authority to bind that company to these Terms.
3. The Service & Availability
3.1. Provision of the Service. Verifire will make the Service available in accordance with these Terms and any applicable Order Form.
3.2. Changes. We may make updates, improvements, or modifications to the Service at any time, provided such changes do not materially degrade its core functionality.
3.3. Beta Features. Some features may be offered as Beta. Beta features:
are provided “as-is”,
may be modified or removed at any time,
may contain errors or reduced functionality.
3.4. Documentation. Customer must use the Service in accordance with our documentation and API requirements.
4. Account Registration & Security
4.1. Customer is responsible for:
maintaining accurate Account information,
ensuring only Authorized Users access the Account,
protecting passwords, API keys, and credentials.
4.2. Customer shall notify Verifire immediately of any unauthorized access or suspected security incident.
5. Fees, Billing & Payment Processor
5.1. Fees. Fees for Subscription Plans, Requests packages, Data Retention packages, and Support packages are listed in the Order Form or at checkout.
5.2. Taxes. All fees are exclusive of VAT and other applicable taxes, which may be added as required by law.
5.3. Payment Processor (Ecommpay). Payments are processed by a third-party provider (currently Ecommpay). By purchasing a Subscription, you authorize Verifire and our payment processor to charge the payment method you provide. Verifire does not store full card details.
5.4. Billing Cycle. Unless stated otherwise in the Order Form:
Subscriptions are billed monthly in advance;
Usage-based fees (if any) may be billed monthly in arrears.
5.5. Failed Payments. If payment fails:
we may retry the charge,
we may notify you,
after 7 days we may suspend access to the Service.
5.6. No Refunds. All fees are non-cancelable and non-refundable, except where required by law.
5.7. Price Changes. We may modify pricing at renewal with at least 30 days’ notice.
6. Customer Data & Data Protection
6.1. Roles of the Parties:
For Customer Data, Customer acts as data controller and appoints Verifire as data processor solely for providing the Service.
For Account, Usage, and Billing Data, Verifire acts as an independent data controller as described in the Privacy Policy.
6.2. Data Processing Addendum:
Where required under GDPR, the Verifire DPA forms part of these Terms.
6.3. Data Restrictions. Customer must not submit to the Service any data that:
is not relevant to the workflows or integrations used,
includes sensitive or regulated data categories outside documented support (e.g., raw payment card data, certain medical data), unless explicitly agreed in writing (e.g., a HIPAA BAA),
violates Applicable Law.
6.4. Retention. Customer Data is retained according to the retention package selected by Customer. Usage and logging data may be retained as described in our Privacy Policy.
6.5. Data Export. Upon termination, Customer may request export of Customer Data before deletion; Verifire will have no obligation to retain data beyond agreed retention periods.
7. Third-Party Services & Compliance Providers
7.1. The Service enables Customer to connect to and orchestrate workflows across supported Third-Party Providers.
7.2. Customer acknowledges that:
Third-Party Providers operate under their own terms and privacy policies;
Verifire does not control or guarantee their availability, accuracy, outputs, pricing, or service quality;
Customer remains solely responsible for compliance decisions (e.g., onboarding, KYC/KYB reviews, AML analyses).
7.3. Verifire is not liable for:
downtime or errors of Third-Party Providers,
decisions made by Customer based on provider outputs,
changes in provider functionality or pricing.
8. Acceptable Use & Custom Obligations
Customer must not, and must ensure Authorized Users do not:
8.1. Illegal Activities
Use the Service for any unlawful, fraudulent, or malicious activities, including money laundering, sanctions evasion, or unauthorized surveillance.
8.2. Security Violations
Introduce malware, attempt to access systems without authorization, bypass rate limits, or probe the Service for vulnerabilities.
8.3. Misuse of Data
Submit data unlawfully obtained or without required consents or legal basis.
8.4. Resource Abuse
Overload the Service with excessive requests or create automated traffic that materially impacts platform stability.
8.5. Reverse Engineering
Reverse engineer, decompile, or extract source code from the Service.
8.6. Interference
Interfere with or disrupt the integrity or performance of the Service or its integrations.
Verifire may suspend or limit access immediately if Customer breaches this section or poses a security risk.
9. Confidentiality
9.1. Definition
“Confidential Information” means any non-public information disclosed by one party to the other, including Customer Data, API keys, business plans, or technical information.
9.2. Obligations
Each party agrees to:
use Confidential Information only to perform these Terms;
protect it with reasonable care;
not disclose it except to personnel subject to similar confidentiality obligations or where legally required.
9.3. Exclusions
Information is not confidential if it is public, independently developed, or lawfully obtained without restriction.
10. Intellectual Property
10.1. Verifire retains all rights in the Service, including all software, documentation, integrations, and improvements.
10.2. Customer retains all rights in Customer Data.
10.3. Customer grants Verifire a license to use Customer Data solely to:
provide and maintain the Service,
improve internal platform operations (using aggregated or anonymized data where appropriate),
comply with legal obligations.
10.4. With Customer consent, Verifire may use Customer’s name and logo for marketing as described in Section 16 (Publicity).
11. Suspension
We may suspend the Service immediately if:
Customer violates the Acceptable Use section,
Customer fails to pay due fees,
Customer poses a security or operational risk,
required by a Compliance Provider, payment processor, or Applicable Law.
We will restore access once the issue is resolved.
12. Term, Termination & Effect of Termination
12.1. Term. These Terms remain in effect while Customer maintains an active Subscription.
12.2. Termination for Cause. Either party may terminate for material breach not cured within 30 days of written notice.
12.3. Termination for Convenience. At the end of each billing period, Customer may cancel the Subscription to prevent renewal.
12.4. Effect of Termination. Upon termination:
access to the Service will cease,
Customer Data will be deleted per the retention package,
outstanding fees remain payable,
Customer must stop all use of the Service.
12.5. Survival. Sections relating to Fees, Confidentiality, Data Protection, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.
13. Warranties & Disclaimers
13.1. The Service is provided “as-is” and “as available”.
13.2. Verifire does not warrant that:
the Service will be uninterrupted or error-free,
outputs from Third-Party Providers will be accurate or suitable for regulatory decisions,
the Service will meet Customer’s specific regulatory or internal requirements.
13.3. Verifire does not provide legal, compliance, or regulatory advice.
14. Indemnification
Customer will indemnify and hold Verifire harmless against third-party claims arising from:
Customer’s misuse of the Service,
Customer Data,
breach of these Terms,
violations of Applicable Law.
15. Limitation of Liability
15.1. To the fullest extent permitted by law:
Verifire will not be liable for any indirect, incidental, special, consequential, or punitive damages.
Verifire’s total aggregate liability arising out of these Terms will not exceed the fees paid by Customer in the 6 months preceding the event giving rise to the claim.
15.2. Nothing in these Terms excludes liability where it cannot be excluded under Applicable Law.
16. Publicity
With Customer consent, Verifire may reference Customer as a user of the Service and display Customer’s name and logo.
Consent may be withdrawn at any time with written notice.
17. Assignment
Customer may not assign rights or obligations without Verifire’s prior consent.
Verifire may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
18. Subcontractors
Verifire may use affiliates and third-party subprocessors to provide the Service and remains responsible for their performance.
A list of subprocessors is available in the DPA.
19. Govering Law & Dispute Resolution
These Terms are governed by the laws of Cyprus.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus.
20. Miscellaneous
Notices: May be delivered by email or via the dashboard.
Updates to Terms: We may update these Terms by posting a revised version. Continued use after changes constitutes acceptance.
Severability: If any provision is invalid, the rest remain in effect.
No Waiver: Failure to enforce a right is not a waiver.
Entire Agreement: These Terms, the Privacy Policy, and the DPA form the entire agreement between the parties.
